Merger in the EUROMEDIA GROUP
This was a merger by merger of EUROMEDIA GROUP, a.s. as the successor company and KH Financing s.r.o., NEOLUXOR, s.r.o. and GRANIT, s.r.o. as the dissolving companies. EUROMEDIA GROUP, a.s. is one of the strongest players on the Czech book market. Under its wings it has book publishing houses with major labels (Odeon, Ikar, Universum, YOLI and others), distribution of books (printed and e-content) and the Luxor bookstore network. It is represented by the luxor.cz online store and over thirty stores throughout the Czech Republic.
The aim of the merger was to simplify the Group’s organisational structure and achieve significant savings on the client side. The advisory services included in particular the following: analysis of contractual and commercial relationships and identification of potential merger risks; preparation of the merger project and all corporate documentation; ensuring notification obligations in relation to creditors, authorities and business partners; support in drawing up the opening balance sheet; securing approval of the merger by the shareholders of the merging companies; ensuring registration of the merger in the commercial register; legal support throughout the merger process. The value of the transaction was in the order of hundreds of millions of Czech crowns. It was a project lasting more than a year, during which we successfully guided the client through the entire merger process.

Purchase of a residential building in Prague by a private investor
LTA’s legal team, led by Mark Demo, supported the client in the purchase of the co-ownership shares of an apartment building in Prague from the remaining co-owners, one of whom was a project company from the SATPO development group. The advisory services included in particular: negotiating with the seller; drafting and reviewing purchase agreements; supporting the client in negotiations with the bank on loan financing; reviewing loan and security documentation; preparing and submitting proposals for entry into the Land Registry. The value of the transaction amounted to tens of millions. The transaction was completed in a relatively short time of less than 2 months.
