Acquisition and subsequent merger of UJAK and AMBIS directed by LTA

LTA successfully completed the advisory services for our long-standing client, AMBIS vysoká škola, a.s. (AMBIS), on the acquisition of a business stake in Univerzita Jan Amos Komenský Praha s.r.o. (UJAK) and the subsequent integration of UJAK through a merger with AMBIS.

This was a post-acquisition merger, with UJAK as the surviving company and AMBIS as the successor company. This was one of the few university mergers that we have unique know-how in. Given the need to complete the merger by the first day of the academic year, the merger had to be completed within a relatively short time of 3 months from the completion of the acquisition.

Our advisory services included legal, tax and financial due diligence, preparation and negotiation of the transaction contractual documentation, support in the settlement of the transaction, analysis of the potential impact of the merger on the legal, tax, financial and operational affairs of both companies, preparation of the merger project, securing the necessary disclosures about the merger, support in the settlement of the subsidies and registration of the merger in the commercial register. Efficient execution of the entire transaction is made possible by a unique and comprehensive combination of experts from all relevant areas within one team – i.e. lawyers, tax advisors and auditors, from the initial considerations of the acquisition, through professional support in commercial negotiations to the implementation of the individual steps of the transaction.
